By accessing or using the BrainiAll platform, website, APIs, and related services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to all of these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you and BrainiAll, Inc. ("BrainiAll," "we," "us," or "our"). By creating an account, accessing the platform, or using any of our AI agent and model services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.
Subject to these Terms, BrainiAll grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business operations. You may use our platform, APIs, dashboards, and related tools solely to deploy specialist AI agents and models within your business processes.
You agree not to: (a) sublicense, sell, resell, or redistribute the Services or any component thereof; (b) use the Services to develop a competing product or service; (c) reverse engineer, decompile, or disassemble any aspect of the Services; (d) attempt to gain unauthorized access to our systems, networks, or data; (e) use the Services in any manner that violates applicable laws or regulations; or (f) interfere with or disrupt the integrity or performance of the Services.
All rights, title, and interest in and to the Services, including but not limited to all software, algorithms, machine learning models, AI systems, user interfaces, designs, text, graphics, trademarks, and other intellectual property, are and shall remain the exclusive property of BrainiAll and its licensors. Nothing in these Terms transfers any ownership rights to you.
You retain all rights to the data you provide to the Services ("Customer Data"). You grant BrainiAll a limited, non-exclusive license to use, process, and analyze Customer Data solely for the purpose of providing and improving the Services. BrainiAll may use anonymized and aggregated data derived from your use of the Services for research, benchmarking, and product improvement purposes.
BrainiAll is committed to protecting the privacy and security of your data. We collect, process, and store data in accordance with our Privacy Policy and applicable data protection laws, including but not limited to the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR) where applicable.
We implement industry-standard security measures, including encryption in transit and at rest, access controls, audit logging, and regular security assessments, to protect your data against unauthorized access, alteration, disclosure, or destruction. You acknowledge that no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.
To the maximum extent permitted by applicable law, BrainiAll and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Services, even if BrainiAll has been advised of the possibility of such damages.
In no event shall BrainiAll's total aggregate liability arising out of or relating to these Terms or the Services exceed the amounts paid by you to BrainiAll during the twelve (12) months immediately preceding the event giving rise to the claim. The limitations set forth in this section shall apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California.
You agree to waive any right to a jury trial in connection with any action or litigation arising out of these Terms. Any cause of action or claim you may have arising out of or relating to these Terms must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.
BrainiAll reserves the right to modify, update, or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date at the top of this page. We may also notify you via email or through the platform for significant changes.
Your continued use of the Services after any such modifications constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Services. It is your responsibility to review these Terms periodically for changes.
